PERFORMERS CLUB OF ROSSMOOR
BYLAWS
ARTICLE I – NAME
The name of this organization shall be the Performers Club of Rossmoor (“the Club”).

ARTICLE II – PURPOSE
The Performers Club exists to support both the performers who create music and entertainment and the residents who enjoy and support it.
The Club is organized to:
• Provide opportunities for rehearsal, collaboration, and performance.
• Support professional, semi-professional, and accomplished amateur performers.
• Facilitate access to Rossmoor facilities for rehearsals and performances.
• Encourage artistic growth and creative collaboration.
• Support multiple performing groups and individual performers.
• Expand entertainment opportunities for Rossmoor residents.
• Promote cultural enrichment within the community.
The Club shall operate in accordance with all applicable Golden Rain Foundation (GRF) and Rossmoor Walnut Creek policies.

ARTICLE III – MEMBERSHIP
Section 1. Eligibility
Membership shall be open to all Rossmoor residents in good standing who support the purposes of the Club and pay annual dues established by the Board.
Section 2. Membership Categories
A. Regular Members
Regular Members are residents who support the purposes of the Club and wish to attend performances, receive communications, and participate in Club activities.
B. Contributing Members
Contributing Members are residents who actively participate in:
• Performances
• Rehearsals
• Creative collaboration
• Production support
• Event organization
• Other activities directly supporting the Club’s performance mission
The Board shall determine Contributing Member status when necessary.
Section 3. Rights of Members
Members may:
• Attend Club activities.
• Participate in Club-sponsored programs.
• Serve on committees.
• Be considered for appointment to the Board of Directors.
• Receive Club communications.
Membership does not include voting rights regarding governance of the Club.

ARTICLE IV – BOARD OF DIRECTORS
Section 1. Authority
The Club shall be governed by a Board of Directors.
The Board shall have full authority over:
• Club finances
• Dues
• Performance policies
• Rehearsal scheduling
• Venue utilization
• Membership administration
• Ticketing policies
• Club operations
• Strategic planning
Section 2. Composition
The Board shall consist of:
• President
• Vice President
• Treasurer
• Secretary
• Performance Coordinator
• Facilities and Rehearsal Coordinator
The Board may appoint multiple Directors-at-Large.
Section 3. Contributing Member Representation
At least one-half of the Directors shall be Contributing Members.
Any fractional requirement shall be rounded up to the next whole number.
Section 4. Voting Rights
Only Directors shall vote on Club business.
Section 5. Quorum
A majority of Directors shall constitute a quorum.
Section 6. Board Action
Unless otherwise specified in these bylaws, actions of the Board shall be approved by a majority vote of Directors present at a meeting where a quorum exists.

ARTICLE V – DIRECTOR SELECTION AND TERMS
Section 1. Appointment of Directors
Directors shall be elected by the Board of Directors.
The Board may solicit recommendations from members but shall not be required to do so.
Section 2. Terms
Directors shall serve one-year terms.
Section 3. Reappointment
Directors may be reappointed for unlimited consecutive terms.
Section 4. Vacancies
Vacancies shall be filled by vote of the Board.
Section 5. Removal
A Director may be removed by a two-thirds vote of the Board whenever the Board determines such action to be in the best interests of the Club.

ARTICLE VI – DUTIES OF OFFICERS
President
The President shall:
• Preside at Board meetings.
• Serve as principal spokesperson for the Club.
• Oversee Club operations.
• Appoint committees.
Vice President
The Vice President shall perform the duties of the President in the President’s absence.
Treasurer
The Treasurer shall:
• Maintain financial records.
• Receive and disburse Club funds.
• Present financial reports.
• Ensure compliance with applicable financial requirements.
Secretary
The Secretary shall:
• Maintain minutes and records.
• Provide notices of meetings.
• Maintain Club documents.
Performance Coordinator
The Performance Coordinator shall coordinate performance opportunities and programming.
Facilities and Rehearsal Coordinator
The Facilities and Rehearsal Coordinator shall coordinate rehearsal space and venue logistics.

ARTICLE VII – FINANCES
Section 1. Dues
Annual dues shall be established by the Board.
Section 2. Use of Funds
Club funds may be used for:
• Administrative expenses
• Marketing and communications
• Equipment and operational expenses approved by the Board
• Service charges associated with Special Events. A Special Event is an event
Planned and authorized by the Board and presented under the direction of the
Performance Coordinator
• Service charges associated with other performances or activities, as approved by
the Board on a case-by-case basis.
Section 3. Performance Expenses
Performing groups are generally responsible for service charges as well as their own sound, technical, and performance-related expenses unless otherwise approved by the Board.
Section 4. Ticket Sales
The Board may authorize ticketed events and establish procedures for admissions, ticket sales, and revenue collection.
Section 5. Insurance
The Club shall operate under applicable GRF insurance coverage and requirements.

ARTICLE VIII – REHEARSALS AND PERFORMANCES
Section 1. Rehearsal Opportunities
The Club may sponsor recurring rehearsal opportunities for Contributing Members and performing groups.
Section 2. Performance Opportunities
The Club may organize, sponsor, or facilitate performances in Rossmoor facilities.
Section 3. Venue Utilization
The Board may establish guidelines regarding the use of larger venues based on anticipated attendance, production requirements, financial considerations, and community benefit.

ARTICLE IX – MEETINGS
The Board shall meet as necessary to conduct Club business.
The Board may hold informational meetings for members at its discretion.

ARTICLE X – COMMITTEES
The Board may establish standing or special committees.
Committees may include both Regular Members and Contributing Members.
Committees serve in an advisory capacity unless otherwise authorized by the Board.

ARTICLE XI – AMENDMENTS
These bylaws may be amended by a two-thirds vote of the Board of Directors.

ARTICLE XII – DISSOLUTION
Upon dissolution of the Club, any remaining assets shall be distributed in accordance with applicable GRF policies and requirements.
